Terms of Service

These terms govern your use of Proterate Stock. By creating an account or using the service, you agree to them.
The service
Proterate Stock records inventory movements, purchasing, and order fulfilment across one or more warehouses, and reports on the resulting stock levels and costs. It is not accounting software, a point-of-sale system, a courier, or a marketplace. It does not file tax returns and it does not maintain your marketplace listings.
Accounts and responsibilities
- You must provide accurate information and keep credentials secure.
- You are responsible for activity under your company’s account, including the accounts of staff you invite and the permissions you grant them.
- You are responsible for the accuracy of the data you enter or import, including opening balances and costs. Reports are derived from that data: a wrong opening count produces a wrong valuation, and we have no way to know it was wrong.
- You are responsible for the lawfulness of the personal data you upload, including supplier and customer contact details, and for giving those people any notice their law requires.
Not accounting or tax advice
Stock valuation, cost of goods sold, and the other figures the service produces are operational reports for your own use and for handing to your accountant. They are not statutory accounts, an audit, or tax advice, and we do not warrant that they satisfy any particular accounting standard or filing requirement. Have your accountant check them before they are relied on for a filing.
Channel data and integrations
Orders from marketplaces are brought in by import. The service does not currently maintain a live connection to Shopee, Lazada, TikTok Shop, or any other channel, and it does not push stock levels back to them — keeping your listings accurate remains your responsibility. Where an integration is offered in future, it will depend on that third party’s own service, which we do not control.
Plans and limits
Plans are described on the Proterate Stock page and carry limits on warehouses, users, SKUs, and monthly orders. If you exceed a limit, your existing data stays accessible and readable; adding beyond the limit is paused until you upgrade or return under it. We will not delete records because of a plan limit.
Billing
Paid plans are billed on the cycle agreed when the account is set up and renew until cancelled. You can cancel at any time; access continues until the end of the paid period. Fees already paid are non-refundable except where required by law.
Your data, and getting it out
Your business records remain yours. While the account is active you can export your products, stock, movements, and reports to XLSX at any time, and we will provide an export on request after cancellation within the grace period described in our Privacy Policy.
Acceptable use
Do not use the service to break the law, infringe others’ rights, attempt to gain unauthorised access, disrupt the service, or resell it without our written agreement.
Availability and warranty
We work to keep the service available but do not guarantee uninterrupted or error-free operation. The service is provided “as is” without warranties of any kind to the extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost profits, lost sales, marketplace penalties, or data. Our total liability is limited to the amount you paid us in the twelve months before the claim.
Termination
You may stop using the service at any time. We may suspend or terminate accounts that breach these terms. On termination, your data is deleted in line with our Privacy Policy.
